SEASONAL BUSINESSES RECEIVE EXPANDED PPP LOAN FLEXIBILITY A rule change released by the Treasury Department will allow seasonal businesses to choose a different 12-week expense period when applying for a Paycheck Protection Program (“PPP”) loan under the CARES Act — a period that more accurately reflects their seasonal operating payroll and increases their eligible loan amount.. The PPP is operated by the Small Business Administration and is CAPTIVE INSURANCE UPDATE The DDOI also argues that, under the McCarran-Ferguson Act, the regulation of insurance is within the exclusive authority of the states. A hearing was held on March 12, 2021. The final decision could impact a domiciliary state’s ability to protect the confidentiality of captive insurance company records. CIC Services, LLC v. PPP LOAN FORGIVENESS The PPP declares that the amount of loan forgiveness will be reduced if there is a decrease in the number of full-time equivalent (FTE) employees which is not restored by June 30, 2020. However, some employees have been turning down offers to be rehired for the same jobs for a variety of reasons. BUYING OR SELLING A BUSINESS WITH A PPP LOAN Typically, PPP loan documents will require the lender’s consent before entering into a transaction involving a change of management control or the sale of the business or substantially all of its assets. If the consent is not obtained, loan forgiveness eligibility may be imperiled. In such event, the loan should be repaid at closing.
