SeaWorld Entertainment announced Tuesday that it has agreed to pay $65 million to settle a longstanding lawsuit claiming it deceived investors when it claimed early on that the anti-captivity documentary “Blackfish” had no ill effect on park attendance. The settlement comes just a week before a jury trial was scheduled for the case, which originated in 2014 and was later certified as a class-action lawsuit. SeaWorld, in a Tuesday filing with the Securities and Exchange Commission, said that the settlement does not “constitute an admission, concession, or finding of any fault, liability, or wrongdoing by the Company or any defendant.” The settlement, says SeaWorld, is still subject to approval in federal* twitter

and concluded that a trial should move forward, stating that “a rational jury could conclude that there has been a primary violation of federal securities law.”Advertisement
Investors in the class-action suit claimed that when SeaWorld executives finally acknowledged in August 2014 that the 2013 “Blackfish” film and the media exposure surrounding it had dampened attendance, shareholders lost nearly 33 percent of the value of their SeaWorld stock in a single day. SeaWorld, however, countered that there was no evidence that the company failed to disclose internal information showing that “Blackfish” was negatively impacting attendance. In a quarterly report filed in November, SeaWorld said at the time that “the lawsuit is without merit and intends to defend the lawsuit vigorously; however, there can be no assurance regarding the ultimate outcome ofthis lawsuit.”
The Orlando-based company was facing potentially damning evidence, some of which had been released in the form of depositions of formerSeaWorld employees.
In one deposition, former Vice President of Communications Fred Jacobs acknowledges on multiple occasions he made false statements to reporters when he told them that SeaWorld had not experienced any harm to its reputation, business or attendance following the release of “Blackfish.” When asked in the deposition why he said something he knew to be false, he answered, “I was instructed to answer the question by (former CEO) Jim Atchison.”Advertisement
The $65 million payout is dramatically higher than the $5 million sum that SeaWorld and Atchison paid in 2018to
settle fraud charges by the SEC that they misled investors about the impact “Blackfish” had on the theme park company. Jacobs at the time also agreed to settle a fraud charge and was ordered to pay disgorgement and interest accrual of approximately $100,000. The SEC said at the time that Jacobs was not assessed a penalty because of his “substantial assistance” in the SEC’s investigation. -------------------------Tourism Latest
